Terms of Service

We are App Fusion LLC (“Company”, “we”, “us”, or “our”) — a limited liability company registered in Georgia, with its registered office at 14 Giorgi Shervashidze Street, Daba Tskneti, Vake District, Tbilisi, Georgia, Identification Number: 405730829.
The Company owns and operates the Structo software platform (the “Platform”), a comprehensive digital system for business management.
While the Platform offers specialized tools for real estate development companies (sales, installments, property management), its core modules, such as Customer Relationship Management (CRM) and financial reporting, are designed to serve a broad range of business entities across various industries.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, the Privacy Policy, and any related annexes or documents referenced herein.
1. Definitions
For the purposes of these Terms, the following definitions shall apply:
“Platform” – The Structo software solution, owned and operated by App Fusion LLC, used for automating business processes, financial operations, and client relationship management (CRM).
“Company” / “We” / “Us” – App Fusion LLC (Identification Number: 405730829), the owner, operator, and service provider of the Structo Platform.
“User” / “You” – Any individual or legal entity (including real estate developers and other commercial businesses) that registers on the Platform and uses the services provided by the Company.
“Service” / “Services” – All features, modules, tools, integrations, and support functionalities made available by the Company through the Platform.
“User Account” – The authorized account created during the registration process.
“User Data” – Any information submitted, uploaded, or otherwise provided to the Platform by the User, including client data, financial records, and operational information.
“Subscription” – The paid access plan selected by the User to utilize the Platform’s services.
Article 1: Terms of Service
1.1 Purpose of the Document This document constitutes a legally binding agreement between you (acting individually or on behalf of an organization) and App Fusion LLC regarding the use of the Structo Platform.
1.2 Acceptance of Terms By using the Platform or clicking the “I Agree” button during registration, the User confirms full acceptance of these Terms.
1.3 Scope of Applicability These Terms apply to all Users, regardless of their industry (Real Estate, Retail, Service, etc.), using any module of the Structo Platform.
1.4 Right to Modify The Company may update these Terms to improve the Service or comply with law. Updates are governed by Article 28.
1.5 Non-Acceptance of Terms If the User does not agree to these Terms, they must immediately cease use of the Platform.
Article 2: Parts of this Agreement
2.1 Components This Agreement consists of General Terms (applicable to all) and Specific Terms (governing specific modules like Real Estate Management or CRM).
2.2 Precedence In the event of a conflict, Specific Terms regarding a particular module shall prevail.
2.3 Annexes This Agreement incorporates the Privacy Policy, Technical Documentation, and Service Guidelines.
Article 3: Acceptance of the Agreement
3.1 Basis for Acceptance This is a binding contract between the Company and the User.
3.2 Acceptance Procedure Acceptance occurs upon registration, clicking “I Agree,” or commencing use of the Service.
3.3 Effective Date The Agreement is effective from the moment of registration and remains valid as long as the User maintains an active account.
Article 4: Description of Service
4.1 Nature of the Platform Structo is a cloud-based software solution (SaaS). It provides:
Specialized Real Estate Tools: Automation of property sales, installment agreements, barter transactions, and rentals.
Universal Business Tools: A robust CRM system, financial flow management, and reporting tools suitable for various industries beyond real estate.
4.2 Functional Capabilities Core functionalities include:
CRM (Client Relationship Management) for tracking leads and history;
Financial monitoring and analysis;
Generation of unique payment codes and invoices;
Automated notifications and reminders;
Data-driven forecasting and personalized reporting;
Secure data storage and backups.
4.3 User Benefits Benefits include streamlined operations, transparency in financial activities, improved client communication, and data security.
4.4 Access Conditions Access is granted to entities meeting registration requirements and agreeing to these Terms and the Privacy Policy.
4.5 Updates Structo reserves the right to update features. Updates do not impose an obligation for compensation unless a paid service is materially limited.
Article 5: Beta and Demo Services
5.1 Nature of Beta/Demo Services Structo may offer access to "Beta" or "Demo" environments for testing purposes. These are distinct from the live, production environment.
5.2 Conditions of Beta Service
Beta/Demo services are provided "as is" without warranties.
Data Reset: Users acknowledge that data entered into a Demo or Beta testing environment may be temporary and is subject to deletion or reset within 24 hours or another specified timeframe.
Production Data: This clause does not apply to the live, paid version of the Platform, where data is retained according to Article 16.
5.3 Limitation of Liability Structo bears no responsibility for data loss occurring within explicitly designated Beta or Demo environments.
Article 6: Privacy and Data Protection
6.1 Data Processing Principles Structo processes data primarily on the instructions of the User acting as the Data Controller, as detailed in the Privacy Policy, and for legitimate business purposes necessary to provide the Service.
6.2 Types of Data Includes identification, contact info, transaction history, and technical session data.
6.3 Security We employ encryption, multi-factor authentication, and regular security audits.
6.4 Third Parties Data is shared with third parties only when necessary for service delivery (e.g., payment processing) or required by law.
6.5 User Rights Users may request access, correction, or deletion of their personal data in accordance with the Privacy Policy.
Article 7: User Sign-up Obligations
7.1 Registration Users must register via official channels. Registration implies acceptance of these Terms.
7.2 Accuracy Users must provide accurate information. False information may lead to account suspension.
7.3 Authorization Users must have the legal right to use the data they input into the Platform.
7.4 Credentials Users are responsible for safeguarding their login credentials.
7.5 Responsibility for Data The User is solely responsible for the accuracy of financial and CRM data entered. Structo provides the tools for management but is not liable for the User's accounting errors or incorrect data entry.
Article 8: Restrictions on Use
8.1 Prohibited Acts Users must not use the Platform for illegal activities, spamming, or violating third-party rights.
8.2 Technical Integrity Reverse engineering, hacking, or interfering with the Platform’s code is strictly prohibited.
8.3 Data Misuse Selling or misusing data extracted from the Platform is forbidden.
8.4 Violations Structo may terminate access immediately for violations of these restrictions.
Article 9: Spamming and Illegal Activities
9.1 Spamming Unauthorized commercial messaging or spamming via the Platform is prohibited.
9.2 Illegal Use Phishing, fraud, and distribution of malware are strictly forbidden.
9.3 Content Responsibility The User is fully responsible for the legality of any content uploaded to the Platform.
Article 10: Third-Party Applications
10.1 Integrations The Platform may integrate with third-party services (e.g., banks, accounting software).
10.2 Liability Structo is not liable for errors, downtime, or damages caused by third-party services.
10.3 Data Sharing Data is shared with integrations only upon User instruction/action.
Article 11: Fees and Payments
11.1 Fees Users agree to pay the fees specified in their subscription plan or contract.
11.2 Payments Payments are made via accepted methods on the Platform.
11.3 Late Payment Failure to pay on time may result in service suspension as detailed in Article 16.
11.4 Refunds Fees are generally non-refundable, unless otherwise agreed in writing (e.g., in a specific Enterprise agreement) or required by applicable law.
Article 12: Organization Accounts
12.1 Admins Organization accounts must have an Administrator responsible for user management.
12.2 Liability The Organization is liable for the actions of all its members/users on the Platform.
Article 13: Personal Information (CRM Data)
13.1 Processing Role
User as Controller: The User is the "Data Controller" for all client/customer data they enter into the CRM or other modules.
Structo as Processor: Structo acts as the "Data Processor," storing and processing this data solely to provide the Service to the User.
13.2 Confidentiality Structo treats all User CRM data as strictly confidential and does not share it with third parties for marketing purposes.
13.3 Security Structo applies high-level security measures to protect the User’s client database.
Article 14: Communications
14.1 Channels Structo communicates via email, SMS, or in-app notifications regarding service updates, payments, and security.
14.2 Preferences Users may opt-out of marketing messages but not essential service notifications.
Article 15: Complaints
15.1 Submission Complaints can be sent to support@structo.ge.
15.2 Resolution Structo will review and respond within 10 business days.
Article 16: Data Retention, Subscription, and Termination
16.1 Data Retention During Active Subscription Structo guarantees the retention and security of User Data as long as the User maintains an active, paid subscription to the Service. The frequency of logins does not affect data retention as long as the subscription is active.
16.2 Subscription Expiration or Non-Payment In the event that a subscription expires, is cancelled by the User, or is terminated due to non-payment, the User’s account will enter a "Grace Period."
16.3 Data Export Period (Grace Period)
Following the termination or expiration of the subscription, the User will have a period of 30 calendar days (the "Export Period") to access the Platform solely for the purpose of exporting their data.
The Platform provides built-in tools to export financial, CRM, and operational data in standard formats (e.g., Excel, PDF).
It is the User's sole responsibility to initiate and complete the data export within this timeframe.
16.4 Permanent Deletion
Upon the expiration of the 30-day Export Period, Structo reserves the right to permanently delete all User Data associated with the account.
Once deleted, data cannot be recovered. Structo shall not be liable for any data loss resulting from the User’s failure to export data within the provided timeframe.
Article 17: Data Ownership
17.1 User Ownership All data uploaded or generated by the User (including CRM records and financial data) remains the property of the User.
17.2 License to Structo The User grants Structo a license to use the data solely for the purpose of providing and improving the Service.
17.3 Data Portability Users have the right to export their data at any time during their active subscription or the Export Period.
Article 18: Hosting Location
18.1 Locations Data is stored in secure data centers (local or international) that comply with industry security standards and Georgian legislation.
18.2 International Transfers Where data is stored outside Georgia or the European Economic Area (EEA), Structo ensures that appropriate legal safeguards are applied in accordance with applicable data protection laws.
18.3 Backups Regular backups are performed to ensure data recoverability.
Article 19: User Generated Content
19.1 Compliance Content uploaded by Users must comply with laws and these Terms.
19.2 Ownership Structo claims no ownership over User-created content or documents.
Article 20: Intellectual Property
20.1 Structo Rights The Platform, its code, design, trademarks, and branding are the exclusive property of App Fusion LLC.
20.2 Usage License Users are granted a limited, non-exclusive, non-transferable license to use the Platform for their business purposes.
Article 21: Disclaimer of Warranties
21.1 "As Is" The Platform is provided "as is." Structo does not guarantee that the Service will be error-free or uninterrupted.
21.2 Service Level Agreements (SLA) Specific uptime guarantees or Service Level Agreements (SLAs) apply only if explicitly agreed upon in a separate written contract.
21.3 User Responsibility The User agrees that the use of the Platform is at their own risk. Structois a tool for management and reporting; the accuracy of business decisions made based on Platform data rests with the User.
Article 22: Limitation of Liability
22.1 Limitation Structo shall not be liable for indirect, incidental, or consequential damages (including loss of profit or data).
22.2 Cap Structo’s total liability shall not exceed the amount paid by the User for the Service in the 12 months preceding the claim.
Article 23: Force Majeure
23.1 Events Structo is not liable for failure to perform due to events beyond its reasonable control (natural disasters, war, internet service provider failures, etc.).
Article 24: Governing Law
24.1 Jurisdiction This Agreement is governed by the laws of Georgia.
24.2 Dispute Resolution Any disputes shall be resolved by the competent courts of Georgia.
Article 25: Termination
25.1 By User The User may stop using the Service at any time. Data retention is governed by Article 16.
25.2 By Company Structo may terminate access for violation of these Terms or illegal activity.
Article 26: Modification of Terms
26.1 Updates Structo may modify these Terms. Users will be notified of material changes at least 15 days in advance via email or Platform notification.
26.2 Acceptance Continued use of the Service after the changes take effect constitutes acceptance.
